Fair terms, no surprises.

1. Acceptance of terms

By accessing or using Tendor ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including free and paid subscribers.

2. Description of service

Tendor is an AI-powered tender management platform that helps small and medium enterprises analyze tender documents, assess bid viability, and generate response drafts. The Service includes:

• AI-powered bid scoring and compliance analysis
• Automated response generation using your company profile
• Document parsing and requirement extraction
• Risk and opportunity identification

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access.

One person or entity may not maintain more than one free account. We reserve the right to terminate accounts that violate these terms.

4. Subscriptions & billing

Tendor offers free and paid subscription tiers. Paid subscriptions are billed monthly or annually as selected at checkout. Key billing terms:

• Subscriptions auto-renew unless cancelled before the renewal date
• You may cancel at any time — access continues until the end of the billing period
• Refunds are provided only if the Service was materially unavailable during a billing period
• Price changes will be communicated 30 days in advance
• Usage limits reset at the start of each billing cycle

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious files or content designed to exploit the system
• Attempt to reverse-engineer the AI models or prompt templates
• Share account credentials with unauthorized parties
• Resell or redistribute outputs commercially without attribution
• Exceed rate limits or abuse API access through automated means

6. Intellectual property

Your content: You retain all rights to documents you upload and company data you provide. You grant Tendor a limited license to process this content solely to deliver the Service.

AI-generated content: Outputs generated by Tendor (bid scores, response drafts, analyses) are provided for your use. You may use, modify, and submit these outputs freely. Tendor does not claim ownership of generated content.

Our platform: The Tendor brand, interface, prompt engineering, and underlying technology remain our intellectual property.

7. AI disclaimer

Tendor uses artificial intelligence to analyze documents and generate content. While we strive for accuracy, AI outputs are assistive, not authoritative. Specifically:

• Bid scores are estimates based on document analysis — they do not guarantee outcomes
• Generated responses should be reviewed and edited before submission
• Compliance checks may not capture every requirement — always verify manually
• Tendor does not guarantee that using the Service will result in winning bids

8. Limitation of liability

To the maximum extent permitted by law, Tendor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims under these terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Service availability

We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice for planned downtime.

10. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will end
• You may request export of your data within 30 days
• After 30 days, all your data will be permanently deleted
• Outstanding payment obligations survive termination

11. Governing law

These terms are governed by the laws of Kenya. Any disputes arising from these terms or the Service shall be resolved through arbitration in Nairobi, Kenya, unless otherwise required by applicable consumer protection laws in your jurisdiction.

12. Changes to terms

We may modify these terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
